1. Acceptance of Terms

By accessing or using PlacePilot ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

2. Description of Service

PlacePilot provides AI-powered location intelligence analysis for retail businesses. Our service analyzes market conditions, competitor landscapes, and demographic data to help inform business location decisions.

5. Data Sources and Licensing

Our analysis incorporates data from third-party sources under their respective terms:

• Google Maps Platform - Competitor locations, ratings, and business information are retrieved via Google Places API and are subject to Google's Terms of Service
• Google Search - Market research and demographic insights are gathered from publicly available web sources
• Google Gemini AI - Analysis synthesis and report generation
• Clerk - Authentication and user account management, subject to Clerk's Terms of Service
• Stripe - Payment processing, subject to the Stripe Services Agreement

Data accuracy depends on the underlying sources. Google Maps data reflects user-contributed information and may not be complete or current. Review intelligence and behavioral patterns are derived from public reviews and may reflect subjective user opinions. We do not guarantee the accuracy of third-party data incorporated into our reports.

6. User Accounts

To use PlacePilot, you must:

• Create an account with accurate information
• Maintain the security of your account credentials
• Be at least 18 years old or have parental consent
• Not share your account with others

7. Payment Terms

Payment for analysis reports is processed through Stripe. By purchasing a report:

• You authorize us to charge your payment method for the selected report tier
• Prices are displayed in USD unless otherwise stated
• Reports are digital products delivered immediately upon generation

Refund Policy:

• Money-back guarantee: If you are unsatisfied with your report for any reason, contact support@placepilot.ai within 7 days of purchase and we will issue a full refund — no questions asked.
• Technical failures: If your report fails to generate or is incomplete due to a system error, you are entitled to an immediate full refund.
• EU/UK consumers: By completing your purchase, you expressly consent to immediate delivery of digital content and acknowledge that you waive your 14-day right of withdrawal once report generation begins.

8. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose
• Attempt to reverse engineer or extract our AI models
• Resell or redistribute reports without permission
• Submit false or misleading location data
• Overwhelm our systems with automated requests

9. Intellectual Property

What PlacePilot owns: The Service, including our AI models, scoring algorithms, report templates, co-tenancy methodology, and branding, is protected by intellectual property laws.

What you own: Your input data (addresses, business types, account information) remains yours. Your business decisions based on our reports are entirely your own.

Your license: You receive a limited, non-exclusive, non-transferable license to use purchased reports for your own business purposes — including sharing with partners, investors, or landlords. You may not redistribute, resell, or publicly display reports for commercial purposes without our written consent.

10. Disclaimer of Warranties

The Service is provided "as is" without warranties of any kind. While we strive for accuracy, our AI-generated reports are for informational purposes only and should not be the sole basis for business decisions. We recommend consulting with professional advisors before making significant financial commitments.

11. Limitation of Liability

To the maximum extent permitted by law, PlacePilot shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount you paid for the specific report in question.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates as applied in the Dubai International Financial Centre (DIFC). The Parties hereby irrevocably consent to the exclusive jurisdiction of the DIFC Courts in any action arising out of or relating to these Terms.

PlacePilot is operated by PragmaTech LLC-FZ, a company registered in the UAE. DIFC Courts apply English common law principles, providing a familiar legal framework for international users.

14. Force Majeure

Neither Party shall be liable for any failure to fulfill obligations stated in these Terms due to forces beyond reasonable control, including but not limited to: natural disasters, acts of war or terrorism, civil disturbances, government actions, interruptions or failures of utilities, communications, or computer services, pandemic-related disruptions, third-party AI model provider outages or policy changes, or any other circumstances beyond the reasonable control of the affected Party. The affected Party shall use reasonable efforts to resume performance as soon as practicable.

15. Changes to Terms

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the new Terms. We will notify users of material changes via email or in-app notification.

16. Service Modification and Termination

Our Rights: We reserve the right to modify, suspend, or discontinue any feature of the Service at any time without notice. We may terminate or suspend your account for violations of these Terms, illegal activity, or any other reason at our sole discretion. We may refuse service to anyone for any reason.

Your Rights: You may terminate your account at any time by contacting support@placepilot.ai. Termination does not entitle you to refunds for previously purchased reports.

Effect of Termination: Upon termination, your license to use the Service and access reports will immediately cease. Downloaded reports remain subject to the license restrictions in Section 9.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, such provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PlacePilot regarding the Service and supersede all prior agreements, representations, and understandings. No amendment or modification of these Terms shall be binding unless in writing and signed by PlacePilot.

19. Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms to any affiliate or in connection with a merger, acquisition, or sale of assets without restriction.

20. Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
